Terms of Service

Section 1 — Acceptance of Terms

By accessing or using any services, tools, assessments, or products offered by coaigence LLC ("coaigence," "we," "us," or "our"), you ("Client," "User," or "you") agree to be bound by these Terms of Service ("Terms").

These Terms apply to all coaigence products and services including cultivaite, the COMPASS framework pathways, workshops, consulting engagements, and any AI-powered tools.

If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use our Services. Continued use following any updates constitutes your acceptance of the revised Terms.

These Terms are governed by the laws of the State of Connecticut, including the Connecticut Data Privacy Act (CTDPA) effective July 1, 2023, and the Connecticut Unfair Trade Practices Act (CUTPA).

Section 2 — Services Offered

coaigence LLC is a hybrid intelligence company that provides AI-powered tools, consulting services, workshops, and market intelligence products designed to help individuals, businesses, and communities navigate AI adoption and digital transformation.

Our current product and service offerings include:

  • cultivaite — AI-powered lead capture and market intelligence utility
  • navigaite — Workshops and public speaking programs
  • educaite — AI literacy and education programs
  • refraime — AI-powered debt and equity analysis tool
  • COMPASS pathways — Career, Community, Company, and Adaptive consulting
  • Additional coaigence products as released

Services may be delivered in person, virtually, or through automated tools including AI-powered features. Specific deliverables, timelines, and pricing are outlined in individual service agreements, product pages, or proposals. coaigence reserves the right to modify, add, or discontinue any service at any time with reasonable notice to active clients.

Section 3 — cultivaite — Specific Terms

cultivaite is a field-ready lead capture and market intelligence utility sold as a one-time purchase. By purchasing and using cultivaite, you agree to the following additional terms:

License

Your purchase grants you a non-exclusive, non-transferable license to use cultivaite for your own personal or internal business purposes. You may not resell, share, sublicense, or distribute cultivaite or your access to it without written permission from coaigence.

Data Capture Responsibility

cultivaite enables you to capture, store, and export contact information. You are solely responsible for ensuring that your use of cultivaite to collect third-party contact data complies with all applicable laws including the FCC one-to-one consent rules, CAN-SPAM Act, CTDPA, and any other applicable state or federal privacy regulations.

AI Extraction

cultivaite uses AI to extract contact information from images and voice input. Extracted data is processed via third-party AI providers. coaigence does not store your images or voice recordings. You are responsible for reviewing all AI-extracted data for accuracy before use.

Market Map

The Market Map feature generates AI-powered prospect lists for research and targeting purposes. Results are inferred and not guaranteed to be accurate, complete, or current. Placeholder contact information is generated where real data is unavailable and must be verified before outreach.

Privacy laws vary by state and change frequently. You are responsible for staying current with regulations that apply to your business and your use of cultivaite to capture, store, and use contact data.

Section 4 — Payment and Fees

Payment terms are outlined on applicable product pages, invoices, or service agreements. By engaging our services or purchasing our products, you agree to the following:

  • Invoices are due upon receipt unless otherwise specified in writing
  • Late invoices may be subject to a fee of 1.5% per month on outstanding balances, or the maximum rate permitted by Connecticut law, whichever is less
  • Deposits and retainers are non-refundable unless otherwise stated in writing
  • All digital product sales including cultivaite are final upon purchase
  • Billing disputes must be submitted in writing to [email protected] within 14 days of the invoice or purchase date
  • Clients are responsible for any applicable taxes related to services or products received

Section 5 — Intellectual Property

All content, frameworks, tools, assessments, curriculum, products, and materials created by coaigence LLC are the exclusive intellectual property of coaigence LLC and are protected by applicable copyright, trademark, and intellectual property laws. This includes:

  • The coaigence COMPASS framework and its pathways
  • All cultivaite product code, design, and functionality
  • The cultivaite Market Map feature and underlying prompt architecture
  • All coaigence product names including the "aite" and "aive" naming convention
  • All branded materials, presentations, proposals, and written content

Materials shared with you are for your personal or internal business use only. You may not reproduce, distribute, resell, reverse engineer, or create derivative works from any coaigence product, framework, or curriculum without prior written permission.

Any data, documents, or materials you provide to coaigence remain your property. By submitting them, you grant coaigence a limited license to use them solely to deliver your requested services.

Section 6 — AI-Generated Content Disclaimer

coaigence uses artificial intelligence to power features including lead extraction, market list generation, voice capture, assessments, and personalized insights. By using these features you acknowledge and agree:

  • AI-generated outputs are for informational purposes only and do not constitute legal, financial, medical, or professional advice
  • AI-generated content may contain errors, omissions, or outdated information
  • coaigence does not warrant the accuracy or completeness of any AI-generated output
  • You are responsible for independently reviewing and validating all AI-generated information before acting on it
  • Use of AI tools does not guarantee any specific business, career, or organizational outcome
  • You have the right to request human review of any AI-generated output by contacting [email protected]

Section 7 — Client Responsibilities

  • Provide accurate, complete, and truthful information when using coaigence tools and services
  • Use coaigence services and products only for lawful purposes
  • Comply with all applicable laws when using captured or generated contact data for outreach
  • Maintain the confidentiality of any account credentials or license keys provided
  • Take sole responsibility for decisions made based on coaigence recommendations or AI-generated outputs
  • Engage respectfully with coaigence staff, contractors, and representatives

coaigence reserves the right to discontinue services to any client who violates these responsibilities.

Section 8 — Limitation of Liability

To the fullest extent permitted by Connecticut law, coaigence LLC and its owners, employees, contractors, and representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or products, including:

  • Loss of revenue, profits, or business opportunities
  • Loss of data or unauthorized access to your data
  • Decisions made based on AI-generated outputs or market intelligence
  • Outreach compliance violations resulting from your use of cultivaite data
  • Actions or omissions of third-party platforms or vendors

Our total liability in any case shall not exceed the total amount you paid to coaigence in the 90 days immediately preceding the event giving rise to the claim.

Services and products are provided "as is" and "as available" without warranties of any kind. You agree to indemnify and hold harmless coaigence LLC from any claims, damages, or expenses arising from your misuse of our services or violation of these Terms.

Section 9 — Confidentiality

Both parties may share sensitive and proprietary information in the course of working together. Both parties agree to keep confidential information strictly private and not disclose it to any third party except as necessary to deliver services or as required by law.

coaigence confidential information includes proprietary frameworks, product code, pricing structures, methodologies, and unreleased product details. Client confidential information includes business data, strategic plans, and proprietary materials shared with coaigence.

All coaigence contractors and team members are bound by confidentiality agreements.

Section 10 — Connecticut Legal Compliance

These Terms are governed by and construed in accordance with the laws of the State of Connecticut. Any disputes arising under these Terms shall be resolved in the courts of Connecticut.

coaigence complies with the following Connecticut regulations:

  • Connecticut Data Privacy Act (CTDPA) — effective July 1, 2023
  • Connecticut Unfair Trade Practices Act (CUTPA)
  • Connecticut consumer protection statutes
Laws governing AI, data privacy, and digital outreach change frequently at both the state and federal level. coaigence recommends consulting a qualified legal professional regarding your specific business practices and use of AI-powered tools.

Section 11 — Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be submitted to mediation in Connecticut before any legal action is initiated.

Any billing disputes must be submitted in writing to [email protected] within 14 days of the invoice or purchase date.

Section 12 — Changes to These Terms

coaigence may update these Terms periodically to reflect changes in our services, products, or applicable law. Material changes will be communicated via email or in-product notice. Continued use of our services following notice of changes constitutes your acceptance of the updated Terms.
